Welcome to Electus Systems. By engaging our web design and development services, you agree to the following terms and conditions.

1. Services

Electus Systems provides website design, development, hosting, and related digital services for trade contractors and businesses in the Chicagoland area. The specific scope of work for each project will be outlined in a separate project proposal or agreement.

2. Project Timeline & Delivery

We strive to complete all projects within the agreed-upon timeline. However, final delivery depends on timely receipt of all required materials, content, and feedback from the client. Delays caused by the client may result in adjusted timelines.

3. Payment Terms

• A deposit is required before work begins, as specified in your project proposal.
• Final payment is due upon project completion, before the website goes live.
• Hosting and maintenance fees are billed on a recurring basis as outlined in your service agreement.
• Late payments may result in service suspension or additional fees.

4. Client Responsibilities

Clients are responsible for:

• Providing all necessary content, images, logos, and brand materials.
• Providing timely feedback and approvals during the design process.
• Ensuring all provided content does not infringe on third-party copyrights or trademarks.
• Maintaining accurate contact and billing information.

5. Intellectual Property

Upon full payment, clients receive ownership of the custom design elements created specifically for their project. Electus Systems retains the right to display completed work in our portfolio and marketing materials unless otherwise agreed in writing.

Third-party assets (stock images, fonts, plugins) remain subject to their respective licenses.

6. Hosting & Maintenance

If you subscribe to our hosting services:

• We will maintain server uptime to the best of our ability, though we cannot guarantee 100% availability.
• Regular backups will be performed, but clients are encouraged to maintain their own backups.
• Hosting fees are non-refundable and must remain current to keep your website online.

7. Revisions & Changes

Each project includes a specified number of revision rounds as outlined in your proposal. Additional revisions beyond this scope may incur extra charges. Major changes to project scope after work has begun may require a new proposal and adjusted pricing.

8. Limitation of Liability

Electus Systems is not liable for any indirect, incidental, or consequential damages arising from the use of our services or websites we create. Our total liability is limited to the amount paid for the specific service in question.

9. Termination

Either party may terminate a project with written notice. In the event of termination:

• Client is responsible for payment for all work completed up to the termination date.
• Deposits are non-refundable once work has commenced.
• Upon termination of hosting services, clients will have 30 days to migrate their website.

10. Governing Law

These terms are governed by the laws of the State of Illinois. Any disputes will be resolved in the courts of Cook County, Illinois.

11. Changes to Terms

We reserve the right to update these terms at any time. Continued use of our services after changes constitutes acceptance of the new terms.
